Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, developer tools and online services operated by Okyasoft Pte Ltd ("Okyasoft", "we", "us" or "our") (together, the "Services"). By using the Services you agree to these Terms. If you do not agree, do not use the Services.

Eligibility

You must be at least 13 years old, and old enough to form a binding contract in your jurisdiction, to use the Services. If you use the Services on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

Accounts

Some Services require an account. You agree to provide accurate information, to keep your credentials and access tokens confidential, and to be responsible for activity under your account. Tell us promptly if you believe your account has been compromised.

Acceptable Use

You agree not to use the Services to break the law; to infringe intellectual property or privacy rights; to distribute malware or attempt to gain unauthorised access to any system; to interfere with or place an unreasonable load on the Services; to circumvent usage limits, quotas, metering or access controls; to resell or redistribute the Services except as we expressly permit; or to generate or distribute unlawful, harmful or abusive material.

Fees, Plans and Prepaid Credits

Paid Services are billed at the prices and on the terms shown at the time of purchase. Some Services use prepaid units of usage ("credits"). Where credits are offered:

• Credits are consumed as the corresponding Service is used, as described at the point of purchase.
• Credits have no cash value, are not transferable, and cannot be exchanged for money except where required by law or where we choose to issue a refund.
• Credits may be subject to an expiry period, which will be stated at the time of purchase.
• Any complimentary or promotional credits may be limited, varied or withdrawn at our discretion.

Where you enable an automatic top-up, you authorise us to charge your stored payment method when your balance falls below the threshold you set, subject to any spending cap you configure. You can disable automatic top-up at any time.

Unless stated otherwise, prices exclude taxes, and you are responsible for any taxes that apply. Refunds are provided where required by law and otherwise at our discretion.

Third-Party Services

The Services may interoperate with, or send your content to, third-party services in order to fulfil your request. Your use of those third-party services is governed by their own terms, and we are not responsible for them.

Your Content

You retain ownership of the content you submit. You grant us a limited, worldwide, non-exclusive licence to host, process, transmit and display that content solely to operate and provide the Services to you, and to comply with the law. You are responsible for ensuring you have the rights necessary to submit your content.

Our Intellectual Property

The Services, including their software, documentation, design and trade marks, are owned by Okyasoft or its licensors and are protected by intellectual property law. Except for rights we expressly grant, no rights are transferred to you. Open-source components distributed with the Services are governed by their own licences.

Availability and Changes

We may add, change, suspend or discontinue any part of the Services. We aim to give reasonable notice of material adverse changes to paid Services. Where we discontinue a paid Service, we will provide a pro-rata refund of prepaid amounts that remain unused for that Service.

Disclaimers

The Services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, whether express, implied or statutory, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Services will be uninterrupted, error-free or produce particular results. Outputs generated by automated or machine-learning systems may be inaccurate, and you are responsible for reviewing them before relying on them.

Limitation of Liability

To the fullest extent permitted by law, Okyasoft will not be liable for any indirect, incidental, special, consequential or exemplary damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or relating to the Services. Our total aggregate liability arising out of or relating to the Services will not exceed the greater of the amounts you paid us for the relevant Service in the twelve months before the event giving rise to the claim, or one hundred United States dollars.

Indemnity

You agree to indemnify and hold harmless Okyasoft and its officers, employees and agents from any claim, loss or expense arising out of your use of the Services, your content, or your breach of these Terms or of applicable law.

Suspension and Termination

You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if your use poses a risk to the Services or to other users. Provisions that by their nature should survive termination will survive.

Changes to These Terms

We may update these Terms from time to time. We will revise the date at the top of this page and, where the changes are material, give notice through the Services or by email. Continued use after the changes take effect means you accept the revised Terms.

Governing Law

These Terms are governed by the laws of the jurisdiction in which Okyasoft Pte Ltd is registered, and its courts have exclusive jurisdiction, without prejudice to any mandatory consumer protections available to you where you live.
